What BOI Reporting Is
Beneficial Ownership Information (BOI) reporting is a federal requirement administered by FinCEN under the Corporate Transparency Act. Reporting companies must disclose information about the individuals who own or control them.
Who Must File
Most domestic and foreign entities registered to do business in the United States are reporting companies unless they qualify for one of the listed exemptions. Exemptions include certain large operating companies, regulated entities, and inactive entities meeting specific criteria.
What Information Is Reported
Each beneficial owner’s full legal name, date of birth, residential address, and an identifying number from an acceptable identification document must be provided, along with an image of the document. Company applicants must also be reported in certain cases.
Deadlines and Updates
Initial reports have deadlines that depend on when the entity was formed. Changes to reported information must be updated within a defined window after the change occurs. Late filings and inaccuracies can carry penalties, so staying current matters.
